Terms of Service

1. Acceptance of these terms

These Terms of Service (the “Terms”) form a binding agreement between you and Routbox Inc. (“Routbox,” “we,” “us”), the operator of the Cynact platform (“Cynact” or the “Service”). By creating an account, installing a Cynact edge node, or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. The Service

Cynact is a building-automation platform consisting of (a) on-premise hardware (the “Edge Node”), (b) software running on the Edge Node and on Routbox's cloud infrastructure, and (c) mobile and web applications used to monitor and control connected devices at your site.

We continuously improve the Service. Features, integrations, and supported protocols may change. We will give you reasonable notice of material breaking changes.

3. Your account

You are responsible for the accuracy of information you provide, for keeping credentials confidential, and for all activity that happens under your account. Notify us immediately at support@cynact.com if you suspect unauthorized access.

4. Hardware and installation

The Edge Node may be sold, leased, or bundled with a service tier; specific terms are stated on your order form. Installation is typically performed by Wiztec LLC (CA Lic. 1149874) or another Routbox-authorized installer. Risk of loss passes to you on delivery.

You agree to provide reasonable site access for installation, repair, and maintenance, and to operate the Edge Node within published environmental specifications.

5. Subscription, fees, and renewal

Cynact subscriptions are billed in advance on a monthly or annual basis as stated at sign-up. Fees are non-refundable except where required by law. Subscriptions auto-renew until cancelled. You may cancel at any time through your account or by emailing support; cancellation takes effect at the end of the current billing period.

We may change pricing or tier inclusions with at least thirty (30) days' notice prior to your next renewal.

6. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party right.
  • Use the Service for life-safety-critical purposes where its failure could cause death or serious injury. Cynact is not a substitute for life-safety systems (fire alarm, medical monitoring, etc.). See Section 12.
  • Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.
  • Resell, sublicense, or white-label the Service without a written agreement with Routbox.
  • Interfere with the security or integrity of the Service or other customers' data.

7. Cameras, recordings, and occupant consent

Cynact can display and control cameras, doorbells, locks, alarms, and other devices that you connect through your own accounts with third-party providers (for example, Vivint). Camera and recording features are powerful and heavily regulated, and you are solely responsible for operating them lawfully. In particular, you agree to:

  • Obtain any consent required by law from every person who may be recorded or monitored, or whose biometric information (such as facial-recognition data) may be processed — including household members, employees, tenants, guests, and visitors.
  • Comply with all applicable audio/video recording, wiretap, one- or two-party-consent, biometric-privacy (for example, the Illinois Biometric Information Privacy Act), and surveillance laws in your jurisdiction.
  • Position and operate cameras so they do not record areas where people have a reasonable expectation of privacy in violation of law, or areas outside the property you own or control.
  • Enable facial recognition or other biometric features only where you are permitted to do so and have obtained any legally required notice and consent.

Routbox does not monitor camera content and is not responsible for how you configure or use connected cameras, microphones, or recordings. Camera feeds surfaced through the Service are accessible only to the account that owns the Edge Node at the relevant site.

8. Your content and copyright (DMCA)

You retain ownership of content you upload or generate through the Service (for example, device names, notes, schedules, and any images or recordings you choose to store). You grant Routbox a limited, non-exclusive license to host and process that content solely to operate and improve the Service. You are responsible for ensuring you hold the rights to any content you provide and that it does not infringe the intellectual-property or privacy rights of others.

Routbox respects intellectual-property rights and complies with the Digital Millennium Copyright Act (“DMCA”). If you believe content available through the Service infringes your copyright, send a notice to copyright@cynact.com that includes: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and where it is located; (c) your contact information; (d) a statement of your good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act on behalf of the copyright owner; and (f) your physical or electronic signature. We will remove or disable access to infringing material and will terminate, in appropriate circumstances, the accounts of repeat infringers.

9. Your data and privacy

How we collect, use, and protect your information is described in our Privacy Policy. You retain ownership of data you upload or generate through the Service. You grant Routbox a limited license to process that data to operate and improve the Service. Where Routbox processes personal data on your behalf as part of a business (commercial) subscription, our Data Processing Addendum applies and is incorporated into these Terms.

We do not sell your personal information. Aggregated, de-identified statistics may be used to improve the Service and benchmark across the customer base.

10. Third-party services and devices

Cynact integrates with third-party hardware, protocols, and cloud services (for example, Cloudflare, Supabase, Stripe, and device manufacturers and security providers such as Lutron, UniFi, Sonos, and Vivint). Your use of those services is subject to their own terms, and you are responsible for maintaining your own accounts and credentials with them. Routbox is not responsible for third-party outages, changes, or discontinued APIs, though we will do reasonable work to maintain integrations.

11. Service availability

Cynact is engineered to run locally on the Edge Node and continues operating during cloud outages for supported features. We do not guarantee uninterrupted availability of cloud-dependent features and may schedule maintenance windows. Support response times for paid tiers are stated on your service tier.

12. Security systems, life-safety, and physical risk

CYNACT IS A CONVENIENCE AND AUTOMATION TOOL. IT IS NOT A MONITORED ALARM SERVICE, A LIFE-SAFETY SYSTEM, OR A SUBSTITUTE FOR ONE. You acknowledge and agree that:

  • Cynact controls real-world devices such as locks, alarms, garage doors, lighting, and HVAC. Software, network, hardware, power, or third-party failures can cause a device to be left in an unintended state (for example, a door left unlocked or an alarm not armed).
  • Cynact does not provide professional alarm monitoring, emergency dispatch, or any guarantee that it will detect or prevent intrusion, fire, flood, carbon monoxide, or other emergencies. You must maintain independent, professionally monitored life-safety and security systems and must not rely on Cynact for those purposes.
  • You are responsible for maintaining physical backup access (keys, manual overrides) and for periodically testing any automation you depend on.

To the fullest extent permitted by law, Routbox is not liable for property damage, loss, injury, or security incidents arising from the operation, malfunction, or failure of connected devices.

13. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE AND ANY HARDWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ROUTBOX AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Routbox Inc. and its affiliates, officers, employees, and authorized installers from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service; (b) your operation of connected devices, including cameras, microphones, and recordings; (c) your violation of these Terms or any applicable law; or (d) your infringement or violation of any third party's rights, including privacy, biometric, publicity, or intellectual-property rights.

16. Termination

Either party may terminate for material breach if uncured for thirty (30) days after notice. We may suspend or terminate immediately for non-payment, abuse, or risk to other customers. On termination, your right to access the Service ends and we will, at your request and on a reasonable schedule, return or delete your data.

17. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Subject to the arbitration agreement in Section 18, the exclusive venue for disputes is the state and federal courts located in California.

18. Dispute resolution; binding arbitration; class-action waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Informal resolution first. Before starting an arbitration or other formal proceeding, you agree to first contact us at legal@cynact.com and give us sixty (60) days to resolve the dispute informally.

Binding arbitration.Except for the matters listed under “Exceptions” below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be settled by final and binding arbitration administered by JAMS (or, if JAMS is unavailable, the American Arbitration Association) under its rules then in effect, before a single arbitrator, seated in California and conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver.YOU AND ROUTBOX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or otherwise preside over any class or representative proceeding.

Exceptions. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or other equitable relief in court for intellectual-property infringement or for unauthorized access to, or misuse of, the Service.

30-day opt-out. You may opt out of this arbitration agreement by emailing legal@cynact.com within thirty (30) days of first accepting these Terms. Opting out does not affect any other provision of these Terms. If the class-action waiver is found unenforceable as to a particular dispute, this Section will not apply to that dispute, which will instead proceed in the courts identified in Section 17.

19. Changes to these terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the Service at least thirty (30) days before they take effect. Continued use after that date means you accept the updated Terms.
